Referral Program Terms & Conditions

These Referral Program Terms & Conditions (these “Terms”) create a legal agreement between Hexacorp Ltd, with its principal office located at The Enclave, 22619 Pacific Coast Hwy, Suite B260, Malibu, CA 90265, USA, along with its subsidiaries (collectively referred to as “Orfium or “We”) and you, an individual (“You”). These Terms are effective between You and Orfium as of the date You accept them by submitting a referral through the official Orfium referral form.

Orfium provides services to customers (collectively for purposes of these Terms, the “Orfium Service”). You, as an employee of a company that is a current customer of the Orfium Service (“Your Company”), may wish to refer new prospective customers to Orfium (each, a “Referral”). This document outlines the details of the Referral Program, which will run initially for a period of three months, through the end of August 2025.


1. Your Eligibility for the Referral Program 

You may participate in the Referral Program if:

  • (a) You are a current employee or representative of a company that is a client of Orfium;

  • (b) Your Company is in good standing and has completed implementation of the Orfium Service; and

  • (c) You have a personal, professional relationship with the referred contact and their consent to share their details.

 

All rewards will immediately stop accruing if you no longer meet all eligibility requirements.


2. The Referral Process

If eligible to participate:

(a) You must submit referrals through the official referral form on the Orfium website. A referral should include:

  • The name and business contact details (including a valid email address) of an individual employed by a separate organization;

  • A brief description of your connection;

  • Confirmation of their consent to be referred and further contacted by Orfium.

(b) At Orfium’s request, you may be asked to make an introduction via email or another mutually agreed format.

(c) If more than one participant submits the same referral, only the person with the earliest submission (based on timestamp) will be eligible.

(d) You agree not to misrepresent Orfium’s services or act on Orfium’s behalf in any formal or commercial capacity.

(e) You agree to comply with all applicable laws and regulations, including those relating to personal data protection (such as GDPR), anti-corruption, and anti-bribery.


3. Qualified Referrals

A “Qualified Referral” must meet all of the following criteria:

  • The company is not an existing or previously engaged Orfium client or lead, and has not been in active sales discussions within the last 12 months. This will be cross checked with our business department and you will be accordingly informed.

  • The company operates in one of Orfium’s target verticals, which may include:

    • Broadcasters & Networks

    • TV Stations

    • Production Music Libraries

    • Music Publishers

    • Record labels

    • Production Companies/Studios

    • Collection Societies

  • The company is headquartered in a region serviced by Orfium.

  • The company demonstrates sufficient commercial potential, including:

    • Minimum annual revenue of $1million USD, or

    • A substantial rights management, cue sheet, or music licensing need.

  • The referred contact holds a decision-making or stakeholder role and agrees to and holds a qualifying introductory call or product demo with the Orfium sales team within 90 days of the referral submission.

Referrals are subject to internal review and approval by Orfium’s commercial team.


4. Rewards

(a) Referrers will receive a $200 USD prepaid gift card, or may choose a donation of equal value to a registered charity of their choice.

(b) Rewards are fixed per qualified referral that completes a qualifying call and continues the discovery process. They are not dependent on the size or outcome of a commercial deal.

(c) Rewards will be issued via email within 90 days of confirmation of a qualifying referral.

(d) Orfium reserves the right to reject or revoke any rewards based on:

  • Fraudulent or dishonest activity

  • Incomplete or unverifiable submissions

  • Duplicate or non-consensual referrals


5. Miscellaneous

(a) Orfium reserves the right to modify, pause, or terminate the Referral Program and these Terms at any time.

(b) Either party may terminate these Terms for any reason, at any time.

(c) By participating, You confirm you are at least 18 years of age and are legally permitted to enter into this agreement.

(d) The relationship created through this program is that of independent contractors. No agency, employment, or joint venture is implied.

(e) These Terms shall be governed by the laws of the State of New York, without regard to conflict of law principles.

(f) If any provision of these Terms is found to be invalid or unenforceable, the remainder will continue in full force and effect.

(g) All notices will be delivered via email.

Please note that as part of the Referral Program, Orfium may process limited personal data, such as your name, business contact details, and information relating to the referred prospect, solely for the purposes of managing and tracking Referrals, administering any applicable rewards, and maintaining compliance with our contractual and legal obligations.
